One person does not mean no process

The company's separate legal identity remains important even where one person is its only director and shareholder. Decisions should be recorded in the form required for the company and the transaction.

Check which role is changing

Director, shareholder and secretary are different capacities. A person can hold more than one role, but a change to one does not automatically update the others.

Prepare for the company to grow

Adding a second owner or director changes the governance risk. It is often the point to review the constitution, decision rights and whether a shareholder agreement is needed.

Frequently asked questions

Does a sole director need written resolutions?

Company decisions should still be recorded appropriately. The form depends on the decision, the constitution and the applicable company-law rules.

Can I add another shareholder without adding a director?

The ownership and board roles are separate, although the documents and consequences of the proposed arrangement should be reviewed together.

What if the records are already out of date?
